The measure would tighten the process for rescuing struggling companies, requiring stronger evidence that a business could survive, giving creditors more say, and improving checks for misconduct. It would also let qualifying small private companies and certain partnerships avoid an audit, while requiring new companies to show they will operate in Ireland and generally have an Ireland-resident director; it would cap most people at 25 directorships and strengthen powers to remove companies that fail to file returns.

Bill entitled an Act to amend the Companies (Amendment) Act, 1990, to provide for an exemption from the requirement that the accounts of companies and certain partnerships be audited, to prohibit the formation of a company unless it appears to the registrar of companies that the company will carry on an activity in the State, to require one of the directors of a company to be a person resident in the State, to otherwise amend the law relating to companies and certain partnerships and to provide for related matters
